Bylaws

ARTICLE I - OBLIGATIONS AND PRIVILEGES

Section 1. Club Obligation. It shall be the duty of each member to support the club with his/her participation, time and money to the extent that he/she feels obligated to help make a success of the organization.

Section 2. Privileges. All members are urged to enjoy all privileges of the club as outlined herein and as offered during the existence of the club.

ARTICLE II - DUES AND ASSESSMENTS

Section 1. Each member is required to pay annual dues of $5.00 no later than the second meeting of the academic year. Dues will become delinquent after this time. The Treasurer will notify members when dues are payable and when they become delinquent. Any delinquent member may be reinstated upon receipt of his/her dues at any time, providing he/she us eligible for membership.

Section 2. Special assessments may be voted by two-thirds of the membership, provided however, the entire membership is notified in writing of the purpose and amount of the proposed assessment at least thirty days prior to the meeting at which the assessment is to be voted upon.

ARTICLE III - ELECTION OF OFFICERS

Section 1. At the first meeting of the academic year, the Secretary shall notify all members of the club that the annual election of officers will be held at the next regular meeting. The President shall appoint a nominating committee of three members.

Section 2. The term of office of any officer of the club shall be one calendar year, beginning and ending at the third meeting of the academic year.

Section 3. Any officer may serve more than one term, if elected.

Section 4. At the second meeting of the academic year, the presiding officer will accept nominations from the nominating committee and from the floor. An election will be held and the candidate for each office who receives the majority vote of the members present is elected. Secret ballot will be used.

Section 5. Nominees for office shall give their approval before becoming a candidate for office.

Section 6. All officers must be dues paying, full members.

ARTICLE IV - DUTIES OF OFFICERS

The duties of the officers shall be as follows:

A. PRESIDENT.

1. Preside at all the regular and special meetings of the club, and conduct same in accordance with these Bylaws and Roberts Rules of Order.

2. Decide all questions of order.

3. Sign official documents that are adopted by the club.

4. Be a non-voting member in regular or special meetings except in the case of a tie in which his/her vote shall be cast and counted.

5. Be chairperson and voting member of all executive committee meetings.

6. Appoint all committees and committee chairs as necessary or required.

7. Be the spokesperson for the club at all official functions.

B. VICE PRESIDENT

1. Conduct meetings and other business of the club in the absence of the President.

2. He/she shall have all the authority of the President when acting in the presidential capacity.

3. Perform other duties as directed by the President.

4. Serve as Secretary whenever the regular Secretary is absent.

5. In the event the President’s office becomes vacant, the Vice President shall assume the duties of that office for the remainder of the current term.

6. Serve as public relations spokesperson for the club, including advertising club meetings, programs and activities that are of interest to the general public as well as club members.

C. SECRETARY

1. Shall keep the minutes of the regular and special meetings of the club, and provide for disposition of the minutes to the succeeding Secretary.

2. Handle all correspondence except as the President deems it his/her own duty to handle.

3. In the absence of the President and Vice President, shall appoint a temporary chairman who shall assume the duties of the President until such time as the President or Vice President returns.

4. Maintain records and correspondence pertinent to the club in an orderly and business-like manner.

5. Keep and up-to-date roster of all members.

6. Provide each member with a current copy of the club roster.

7. Maintain a club calendar of schedule activities.

D. TREASURER

1. Keep accurate records of all receipts and disbursements of the club and promptly deposit monies in the designated depository.

2. Sign all checks.

3. Shall not be authorized to pay any expenditure greater than twenty-five dollars without the majority vote of a quorum at any club meeting.

4. Will be held personally responsible for the funds entrusted to him/her and give an accounting to the club at each regular meeting upon request.

5. Be responsible for the collection of all dues and assessments.

6. Be responsible for maintaining all data pertinent to this office in a business-like manner.

ARTICLE V - FACULTY SPONSOR

A faculty sponsor will be appointed by the executive committee upon consent of the faculty member. The faculty sponsor must have a position in the botany department.

The duties of the faculty sponsor are as follows:

1. Advise the executive committee of the club.

2. Assist in generating ideas for club activities and programs.

3. Assist in obtaining speakers for club programs.

4. Assist in obtaining transportation for club trips.

ARTICLE VI - COMMITTEES

Section 1. An executive committee shall be established as a standing committee. This committee shall consist of the elected officers of the club. Duties of this committee are to act for the club under provisions of the Constitution and Bylaws.

Section 2. Special or standing committees may be appointed by the presiding officer at regular or special meetings. Committees may be appointed when necessary or advantageous to the club.

ARTICLE VII - VACANCIES

Section 1. A vacancy in the office of President shall be filled by the Vice President.

Section 2. A vacancy in the office of Vice President, Secretary or Treasurer shall be filled by a majority vote of the members present at a regularly scheduled meeting or at a special meeting.

ARTICLE VIII - MEETINGS

Section 1. Regular monthly meetings shall be held the third week of each calendar month at a time and place announced by the executive committee. Notification of the membership will be by the best means available under the prevailing circumstances. Selection of the meeting place shall be the responsibility of the executive committee.

Section 2. Special meetings may be called as prescribed in the Constitution and the date, time, and place, likewise designated. Notification of the membership will be by the best means available under the prevailing circumstances.

Section 3. ROBERT’S RULES OF ORDER, Latest Edition, shall be recognized as the authority of procedure governing any regular or special meeting, when not in conflict with the Constitution and the Bylaws.

Section 4. The order of business shall be decided by the presiding officer. It will include a reading if the minutes of the previous meeting, dispensation of old business, discussion of new business and committee reports.

ARTICLE IX - EXPULSION

A member may be expelled from membership in the club in the following manner:

a. Proposed expulsion on a member shall be openly discussed at a regular or special meeting and reasons for expulsion explained.

b. The Secretary shall notify the affected member at least seven days in advance of the next regular meeting or special meeting,
at which time a vote of the members shall be taken.

c. Any member who becomes delinquent in the payment of his/her dues to the club for a period of one month shall be
automatically dropped from the roster.

ARTICLE X - AMENDMENTS

These Bylaws may be amended by a majority vote of the members present at any two consecutive club meetings.
